Truspan provides a Software-as-a-Service (SaaS) platform for financial analytics and operations. You may use the Service in accordance with these Terms and applicable law.

2. ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING

AI-Powered Features: Our Service uses artificial intelligence and machine learning technologies to provide analytics, predictions, and recommendations.

AI Limitations: You acknowledge and agree that:

• AI-generated outputs may contain errors, inaccuracies, or unexpected results
• AI models may produce different outputs for similar inputs
• AI predictions and forecasts are not guaranteed to be accurate or reliable
• AI-generated content should be reviewed and verified before use
• We do not warrant the accuracy, completeness, or reliability of any AI-generated output

Your Responsibility: You are solely responsible for:

• Reviewing and validating all AI-generated outputs
• Making independent business decisions
• Any actions taken based on AI-generated results
• Ensuring AI outputs meet your specific needs and requirements

Training and Improvement: We may use interactions with the Service, including inputs and outputs, to train and improve our AI models, subject to our data use practices described in Section 3.

• AI predictions will be correct or reliable
• Outputs are suitable for your specific purpose

You are responsible for verifying all outputs and should not rely solely on the Service for critical business decisions without independent verification.

5. DISCLAIMER OF WARRANTIES

THE SERVICE, INCLUDING ALL AI-GENERATED CONTENT AND FEATURES, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT.

WE SPECIFICALLY DISCLAIM ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED OUTPUTS, PREDICTIONS, OR RECOMMENDATIONS.

6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY TEXAS LAW, TRUSPAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM:

• AI-generated errors or inaccuracies
• Reliance on AI predictions or recommendations
• Incorrect calculations or forecasts
• Decisions made based on Service outputs

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

7. PROHIBITED USES

You may not use the Service to:

• Attempt to reverse engineer our AI models or algorithms
• Extract or scrape training data
• Circumvent usage limits or restrictions
• Generate outputs for illegal purposes
• Create competing AI products or services
• Use outputs in ways that violate applicable law

8. USER RESPONSIBILITIES

You agree to:

• Provide accurate information
• Maintain the security of your account
• Use the Service in compliance with applicable laws
• Review and verify all AI-generated outputs before use
• Not rely exclusively on AI outputs for critical decisions
• Not attempt to reverse engineer or compromise the Service

9. PROFESSIONAL ADVICE DISCLAIMER

THE SERVICE DOES NOT PROVIDE PROFESSIONAL FINANCIAL, ACCOUNTING, LEGAL, OR TAX ADVICE. AI-GENERATED OUTPUTS ARE FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT REPLACE CONSULTATION WITH QUALIFIED PROFESSIONALS. YOU SHOULD CONSULT WITH APPROPRIATE PROFESSIONALS FOR ADVICE SPECIFIC TO YOUR SITUATION.

10. TERM AND TERMINATION

These Terms remain in effect while you use the Service. We may suspend or terminate your access if you violate these Terms. You may cancel your subscription according to your service agreement.

11. GOVERNING LAW

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Texas.

12. CHANGES TO TERMS

We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.
